Welcome to Foursquare Premium. These Terms of Service (“Terms”) govern your access to and use of the services, websites, and applications (the “Service”) provided by Pretty Decent Exposure AB.

By creating an account, purchasing a subscription, or using the Service, you (“Customer” or “you”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. The Service is intended for business use only and is not directed at consumers.

1. Definitions

  • “Agreement” means these Terms, together with the Privacy Policy, the Data Processing Agreement (“DPA”), and any order form, all of which are incorporated by reference.
  • “Customer Content” means all text, data, information, and materials uploaded or inputted into the Service by or on behalf of the Customer.
  • “Subscription Period” means the annual period for which the Customer has subscribed to the Service, including each renewal period.
  • “User” means an individual authorized by the Customer to access the Service under the Customer’s account.
  • “Confidential Information” means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.

2. The Service

Foursquare Blueprint is a software-as-a-service (SaaS) platform designed to help businesses develop, structure, and strengthen their brand strategy, positioning, identity, and organizational culture through guided educational methodologies and tools.

The Service provides educational and strategic guidance only. It does not constitute legal, financial, accounting, or other professional advice, and the Provider does not guarantee any particular business outcome from use of the Service.

3. Accounts and Registration

The Customer must provide accurate and complete registration information and keep it up to date. The Customer is responsible for maintaining the confidentiality of login credentials and for all activities occurring under its account and its Users’ accounts. The Customer shall notify the Provider without undue delay at master@planetcreative.se of any unauthorized use of its account or any other suspected breach of security.

4. Subscriptions, Fees, and Renewal

4.1 Annual Term. The Service is billed on an annual subscription basis for the applicable Subscription Period.

4.2 Automatic Renewal. The subscription will automatically renew for successive one-year periods unless canceled by the Customer prior to the renewal date. Cancellation takes effect at the end of the then-current Subscription Period; no refunds are given for the remainder of a Subscription Period already paid, except where required by mandatory law.

4.3 Payments via Stripe. All payments are processed securely via Stripe. The Customer agrees to provide valid payment information and authorizes Stripe to charge all applicable fees to that payment method.

4.4 Price Changes. The Provider may adjust subscription fees with effect from the next renewal, provided the Customer is notified in writing (email sufficient) at least sixty (60) days before the renewal date. If the Customer does not accept the adjusted fee, it may cancel before the renewal date.

4.5 Taxes. All fees are exclusive of VAT, sales tax and other applicable taxes, which will be added where required by law.

4.6 Non-Payment and Grace Period. If an annual renewal payment fails, the Provider will grant a 30-day grace period to update payment details. During this period, access to the Service may be suspended. If payment is not received within 30 days, the account will be deactivated.

4.7 Data Retention upon Deactivation. Following account deactivation due to non-payment or cancellation, the Provider will retain the Customer’s historical brand data for ninety (90) days to allow for seamless reactivation, after which the data will be deleted in accordance with Section 13.4.

5. Acceptable Use

The Customer shall not, and shall ensure that its Users do not:

  • use the Service in violation of applicable law or third-party rights;
  • copy, modify, reverse engineer, decompile, or create derivative works of the Service or its underlying methodology, except as permitted by mandatory law;
  • resell, sublicense, rent, or otherwise make the Service available to any third party, or share account credentials outside the Customer’s organization;
  • use automated means (scraping, crawling, bulk extraction) to access the Service, or probe, scan, or test the vulnerability of the Service without prior written consent;
  • upload malicious code or content that is unlawful, infringing, or defamatory; or
  • use the Service to build a competing product or service.

The Provider may suspend access in the event of a serious or repeated violation of this Section, in accordance with Section 13.3.

6. Customer Content and Data Rights

6.1 Ownership of Customer Content. The Customer retains all intellectual property rights, title, and interest in and to all Customer Content.

6.2 License to Provider for Service Delivery and Product Development. The Customer hereby grants the Provider a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, process, analyze, modify, and use the Customer Content during the term of this Agreement. This license is granted for the purposes of: (a) providing, maintaining, and supporting the Service for the Customer; and (b) internally reviewing, analyzing, and processing Customer Content to perform research and development, train machine learning models or algorithms, improve pedagogical frameworks, evaluate industry maturity levels, and develop new features or products.

6.3 Data Insights and External Benchmarking. The Provider may utilize insights derived from Customer Content to create industry statistics, reports, and benchmarks. Any such insights or data shared externally or with third parties will be presented in a format that does not identify the Customer, its specific brand names, or disclose its proprietary business strategies.

6.4 Exclusion of Sensitive Financial Data. The Service is intended solely for brand strategy and organizational development. The Customer agrees not to input financial ledger data, payroll information, sensitive business turnovers, or payment credentials into the Service.

6.5 Responsibility for Customer Content. The Customer warrants that it has all rights necessary to upload the Customer Content and that the Customer Content does not infringe any third-party rights or violate applicable law.

7. Provider Intellectual Property

The Service, including its software, design, pedagogical frameworks, methodologies, models, templates, reports (excluding Customer Content contained therein), trademarks, and all related intellectual property rights, are and remain the exclusive property of the Provider and its licensors. No rights are granted to the Customer other than the limited right to use the Service during the Subscription Period in accordance with these Terms.

If the Customer provides feedback or suggestions regarding the Service, the Provider may freely use such feedback without restriction or compensation.

8. Confidentiality

Each party shall keep the other party’s Confidential Information confidential, use it only to perform its obligations or exercise its rights under the Agreement, and protect it with at least the same degree of care it uses for its own confidential information (and no less than reasonable care). Confidential Information does not include information that is or becomes publicly available without breach, was lawfully known prior to disclosure, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where required by law or court order, provided it gives prompt notice where legally permitted. This Section survives for three (3) years after termination of the Agreement; Customer Content remains subject to Section 6 for as long as it is held by the Provider.

9. Service Availability and Support

The Provider will use commercially reasonable efforts to keep the Service available, except during planned maintenance (which the Provider will endeavor to schedule outside normal Swedish business hours and announce in advance) and circumstances beyond the Provider’s reasonable control. No specific service level (SLA) is guaranteed unless agreed in writing.

Support is provided via email at master@planetcreative.se during normal Swedish business hours, with responses on a commercially reasonable efforts basis.

10. Data Protection

Each party shall comply with applicable data protection legislation, including the GDPR. The Provider’s processing of personal data on behalf of the Customer is governed by the Data Processing Agreement (DPA), which forms an integral part of these Terms. The Provider’s processing of personal data for its own purposes is described in the Privacy Policy.

11. Warranties and Disclaimers

Except as expressly set out in these Terms, the Service is provided “as is” and “as available”. To the maximum extent permitted by applicable law, the Provider disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Provider does not warrant that the Service will be uninterrupted, error-free, or secure, or that the results, assessments, benchmarks, or recommendations generated by the Service will be accurate, complete, or achieve any particular outcome.

12. Indemnification

12.1 By the Customer. The Customer shall defend and indemnify the Provider against third-party claims arising from (a) Customer Content, (b) the Customer’s use of the Service in violation of these Terms or applicable law, or (c) the Customer’s breach of Section 6.5.

12.2 By the Provider. The Provider shall defend and indemnify the Customer against third-party claims that the Service, as provided by the Provider and used in accordance with these Terms, infringes a third party’s intellectual property rights. If such a claim arises, the Provider may, at its option, procure the right for the Customer to continue using the Service, modify or replace the affected part, or terminate the affected subscription and refund prepaid fees for the unused portion of the Subscription Period. This Section states the Provider’s entire liability for intellectual property infringement.

12.3 Conditions. The indemnified party shall promptly notify the indemnifying party of any claim, give sole control of the defense and settlement to the indemnifying party, and provide reasonable cooperation.

13. Term, Termination, and Suspension

13.1 Term. The Agreement applies for the Subscription Period and renews in accordance with Section 4.2.

13.2 Termination for Cause. Either party may terminate the Agreement with immediate effect by written notice if the other party (a) materially breaches the Agreement and fails to cure the breach within thirty (30) days of written notice, or (b) becomes insolvent, enters into bankruptcy, liquidation, or company reorganization, or suspends payments.

13.3 Suspension. The Provider may temporarily suspend access to the Service where reasonably necessary due to (a) a serious or repeated violation of Section 5, (b) a security risk to the Service or other customers, or (c) non-payment under Section 4.6. The Provider will, where practicable, give prior notice and limit the suspension to what is necessary.

13.4 Effect of Termination; Data Export and Deletion. Upon termination or expiry, the Customer’s right to use the Service ceases. Upon written request made within thirty (30) days after termination, the Provider will make Customer Content available for export in a commonly used format. Thereafter the Provider will delete Customer Content within the retention period set out in Section 4.7, except to the extent retention is required by law or the content has been aggregated or anonymized in accordance with Section 6.3. Sections that by their nature should survive (including Sections 6.3, 7, 8, 11, 12, 13.4, 17, and 18) survive termination.

14. Changes to the Service and these Terms

The Provider continuously develops the Service and may modify or add features, provided that no change materially reduces the core functionality of the Service during a paid Subscription Period. The Provider may amend these Terms with effect from the next renewal, or earlier where required by law, by giving the Customer at least thirty (30) days’ written notice (email sufficient). If an amendment materially adversely affects the Customer, the Customer may terminate the Agreement effective as of the date the amendment takes effect, and will receive a pro-rata refund of prepaid fees for the unused portion of the Subscription Period.

15. Force Majeure

Neither party is liable for failure or delay in performance (except payment obligations) caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental action, power or internet outages, or failures of third-party providers, provided the affected party notifies the other party and resumes performance as soon as reasonably possible. If a force majeure event continues for more than sixty (60) days, either party may terminate the Agreement upon written notice.

16. General Provisions

16.1 Assignment. Neither party may assign the Agreement without the other party’s prior written consent, except that either party may assign it in connection with a merger, acquisition, or sale of substantially all of its assets, with written notice to the other party.

16.2 Entire Agreement. The Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings.

16.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be adjusted to the minimum extent necessary.

16.4 Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

16.5 Notices. Notices shall be given in writing by email to [Insert Legal/Support Email] (for the Provider) and to the email address registered on the Customer’s account (for the Customer), and are deemed received on the business day following dispatch, absent evidence of non-delivery.

16.6 No Partnership. Nothing in the Agreement creates a partnership, joint venture, or agency relationship between the parties.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Pretty Decent Exposure AB be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of data, or loss of goodwill.

The Provider’s total aggregate liability for any claims arising out of or relating to these Terms or the use of the Service shall be limited to the total amount of fees paid by the Customer to the Provider during the twelve (12) months immediately preceding the event giving rise to liability. The limitations in this Section do not apply to liability arising from gross negligence or willful misconduct, or to the Customer’s payment obligations.

18. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of Sweden, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with this contract shall be settled by the public courts of Sweden, with the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
